Terms of Service

Scope, IP, confidentiality, warranties, and how either party ends the relationship — all in plain English.

The agreement

  • These Terms of Service govern all engagements between Abdallah Mekky ("I", "me") and clients ("you"). By commissioning work or signing a project agreement, you accept these terms.
  • Where a separate written agreement or Statement of Work (SOW) exists, that document takes precedence over these terms on points of conflict. Otherwise, these terms apply in full.
  • I reserve the right to update these terms. Existing engagements continue under the terms in effect when they began, unless both parties agree otherwise in writing.

Scope of work

  • The scope of each engagement is defined in the initial written proposal or SOW. Work outside that scope is not included and will be quoted separately before being undertaken.
  • If a project evolves and additional work is required, I'll notify you in writing before proceeding. I won't silently expand scope and then invoice for it.
  • Change requests that materially alter the timeline or deliverables may affect the project fee. I'll be transparent about this upfront.

Intellectual property

  • Upon receipt of full payment for a deliverable, intellectual property rights in that deliverable transfer to you. This includes strategy documents, content briefs, written copy, and audit reports created specifically for your project.
  • Methodologies, frameworks, templates, and proprietary processes I use to produce work remain my intellectual property at all times. You receive the output, not the recipe.
  • I may reference your engagement in anonymised case study form (e.g. "a B2B SaaS client saw X% traffic growth") without identifying your business, unless you've asked me not to.

Confidentiality

  • I treat all client information as confidential by default. This includes business data, revenue figures, traffic data, internal strategies, and anything shared during the engagement.
  • I won't share your information with third parties except where required to deliver the work (e.g. sharing a brief with a contracted writer under equivalent confidentiality obligations).
  • If you need a formal NDA signed before commencing work, I'm happy to do so. Let me know before the engagement begins.

What I warrant — and what I don't

  • I warrant that work will be delivered with professional skill and care, on time or with advance notice if a delay arises, and in accordance with the agreed scope.
  • I do not warrant specific SEO outcomes, rankings, traffic volumes, or revenue results. Search engine algorithms are controlled by third parties and no ethical SEO professional can guarantee positions.
  • I do not warrant that work produced will be free from errors indefinitely — I warrant that I'll correct material errors brought to my attention within 14 days of delivery.

Limitation of liability

  • My total liability to you in connection with any engagement is capped at the total fees paid for that specific engagement.
  • I am not liable for indirect or consequential losses including lost revenue, lost profits, or business interruption arising from SEO work, even if I was aware such losses were possible.
  • Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited by law.

Ending the engagement

  • Either party may end a retainer engagement with 30 days' written notice. Fees for the notice period remain payable.
  • For project-based work, cancellation after work has commenced forfeits the deposit. Partial refunds for incomplete work are handled under the Refund Policy.
  • I reserve the right to terminate immediately if a client engages in abusive conduct, requests unethical practices, or fails to make payment after the grace period outlined in the Payment Terms.
  • On termination, I will deliver all completed work and provide a handover document within 5 business days.

Governing law

  • These terms are governed by the laws of Egypt. Any disputes that cannot be resolved by direct negotiation will be subject to the exclusive jurisdiction of the Egyptian courts.
  • For international clients, I'm open to agreeing an alternative governing jurisdiction in the initial engagement agreement.
